Providing corporate business legal support services on engagements for our clients (large and complex organizations) which includes assisting & supervising counsel with their business as usual, ensuring proper end to end Contract Lifecycle Management services in response to regulatory and corporate triggering events interacting mainly with US and global team members contributing directly in delivering first class service to our clients, supports the engagement life cycle from opportunity pursuit through service delivery and identification expansion opportunities to continue to deliver benefits to the client. Primarily skilled with 9+ years of exposure into contract management life cycle process, managed legal services, risk assessment and mitigation, advisory support.
● Assess risk for all aspects of the business lifecycle, from sales to contract development, through completion of delivery, for all of RD’s capabilities
● Review, negotiating & drafting of contractual documentation that represents an interest and/or offer to conduct work by RD (e.g., confidentiality agreements, budgetary quotes, proposals, statements of work, change orders, master agreements, third party vendor agreements, intercompany affiliate agreements, etc.)
● Provide guidance and assistance to RD onshore service line delivery teams when assessing and executing on clients’ requirements for a specific engagement including the identification, evaluation, understanding, management and communication of significant business risks
● Conduct audits of in-flight engagements so that any mitigation strategies that may be required are identified as early as possible and built into the methods for managing similarly situated engagements going forward
● Create and/or update templates to support processing efficiencies and increase value associated with the RD Risk, Contracts & Compliance Management framework and methodologies
● Assist with the identification and development of methods to identify and address emerging risks, including those driven by external factors, such as legal and regulatory changes and clients’ demands
● Collaborate with colleagues to gain a thorough understanding of capabilities, delivery service lines
● Collaborate with internal organizations to identify avenues to mitigate exposure associated with opportunities and/or new and/or existing engagements, (e.g., Legal, Corporate Risk)
• Corporate business legal engagements for Deloitte clients – assisting with engagement playbooks,
training, leading, and quality controlling the work product of teams supporting business as usual contract
and negotiations service assistance; and review, abstraction, advisory support, remediation services in
response to regulatory and other corporate triggering events.
• Reviewing, Negotiating, Drafting of Master Servicer Contracts (MSA), SAAS Agreements, Vendor Agreements,
EULA Agreements, Service Agreement, RFQ/ RFP's, Memorandum of Understanding and other
commercial & procurement contracts.
• Track all MSA/SOW to see that they are active and follow up for amendments/renewals.
• Client engagement during negotiation and responding to their queries, coordinating and advising clients
on various corporate transactions, regulatory matters, compliance and other various commercial matters.
Negotiation with vendor and business stakeholders across the globe.
• Liaising with clients and different stakeholders on business clauses such as (Indexation, Delivery &
Acceptance, Pricing). Support quarterly auditing in addressing the queries pertaining to the revenue
recognition as per SOW/PO. Communicating effectively to all levels of engagement management.
• End-End Contract Life Cycle Management (from initiation till execution)
Review & Red-Lining, Negotiating & Drafting of Master Servicer Contracts (MSA), Purchase Orders
(PO), agreements related to SAAS Contract (Software as a Service), Product Licensing Agreement,
Service Agreement, RFP and other agreements.
Liaising with clients on business clauses such as (Indexation, Delivery & Acceptance, Pricing). Support
quarterly auditing in addressing the queries pertaining to the revenue recognition as per SOW/PO.
Ensure invoices get generated correctly as per the PO/SOW. Coordinating with the Delivery &
Invoicing team in managing the Sales invoicing process and also sharing regular reports with
management regarding contract repository.
• Maintain database of all documents. Compilation and maintenance of several trackers (Work tracker,
obligation tracker etc.)
• E-Discovery:Raising query to the client support team in case of any contradiction in the terms of
agreement. Preparing and sharing of reports and data analysis with the management.
• Creating coding channels for each level (review/QC), highlighting terms and applying conditions in
coding channels.
